A Technology Assignment Agreement (also known as an Inventions Assignment Agreement) is an agreement signed by a consultant (the “Developer”) and a business (the “Company”) that requires the Developer to disclose all inventions, works of authorship, know-how and technology used, conceived and/or developed during the course of the contract.
The agreement stipulates which (or all) intellectual property will be deemed owned by the Company, including all patents, copyrights, trade secrets, rights of priority, and other proprietary rights. This agreement is critical for both the business owner and the developer, as it defines exactly what intellectual property belongs to the each party, preventing misunderstandings that may lead to lawsuits and costly settlements.
