A Licensee Oriented Software Agreement is an agreement in which a Software Developer (the “Licensor”) provides another company or individual (the “Licensee”) with the right to utilize a licensed software. In signing this contract, the Developer grants rights and imposes restrictions on the Licensee such as at where it may use and install the software.
Developing this type of agreement is absolutely essential to limit liability, specify the permissions granted and protect intellectual property from infringement. This is an extremely detailed agreement that covers clauses such as: source code, maintenance, training/technical support, warranties, confidentiality, and licensee restrictions.
