This template (also knows as a Freelance Agreement) is used when a company contracts with an outside person to perform a specific task or service for an agreed upon compensation. The Contractor is said to be independent because he/she does not hold the status of company employee and is not eligible to any benefits the employer offers its employees.

This particular template gives the contractor the right to perform services for others during the term of this agreement. However, the contractor must abide by a non-compete clause that is included in the contract.
